Agreement to Terms

By accessing and using the services provided by UDC, LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Services Description

UDC, LLC provides AI systems development, automation pipeline implementation, data consulting, and related technology services. Our services include but are not limited to:

• Artificial Intelligence and Machine Learning solutions
• Data analysis and visualization
• Automation and workflow optimization
• Technology consulting and strategy
• Custom software development

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate with our team and provide timely feedback
• Make payments according to agreed terms
• Respect intellectual property rights
• Use our services in compliance with applicable laws

Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur additional fees
• Services may be suspended for non-payment
• All fees are non-refundable unless otherwise specified

Intellectual Property

Unless otherwise agreed in writing:

• UDC retains ownership of its methodologies, frameworks, and general knowledge
• Client retains ownership of their proprietary data and business information
• Custom deliverables become client property upon full payment
• Both parties respect each other's confidential information

Confidentiality

We maintain strict confidentiality regarding client information and projects. We will not disclose confidential information without written consent, except as required by law.

Limitation of Liability

To the maximum extent permitted by law, UDC's liability for any claims related to our services is limited to the amount paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

Service Warranties

We warrant that our services will be performed with professional skill and care. However, we do not guarantee specific outcomes or results, as success depends on various factors including client cooperation and market conditions.

Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

• Client remains responsible for payment of services rendered
• Both parties will return confidential information
• Ongoing obligations (confidentiality, IP rights) survive termination

Governing Law

These Terms are governed by the laws of the jurisdiction where UDC, LLC is incorporated. Any disputes will be resolved through binding arbitration or in the courts of that jurisdiction.

Changes to Terms
